Doing Business in the US From Canada: The First 90 Days

Most Canadian companies we work with assume the hard part of doing business in the US from Canada is the border. It rarely is. The border is a solved problem with seven international crossings in our region alone. The hard part is everything that happens on paper in the ninety days before your first US shipment leaves a US dock.

Here is what actually changes when you set up on this side, in the order it tends to hit.

You need a US entity before you need almost anything else

Nearly every other step depends on this one. Your banking, your EIN, your state registration, your ability to sponsor a transferee, and your eligibility for state incentives all trace back to having a US legal entity in place.

Most Canadian companies expanding into New York form either a corporation or a limited liability company. The filing itself is not the obstacle. New York charges $200 to file Articles of Organization for an LLC with the Department of State.

The part that surprises people is the publication requirement. New York requires a newly formed LLC to publish notice in two newspapers designated by the county clerk, one weekly and one daily, within 120 days of formation, and then file a Certificate of Publication with a $50 fee.

That publication cost is not fixed. It is set by the county, and it varies enormously. Downstate counties routinely run well over a thousand dollars. Erie and Niagara counties are a fraction of that. It is a small example of a larger pattern: the same legal step costs materially different amounts depending on where in New York you land.

Your people need status, and the route depends on your structure

Two paths cover most Canadian expansions.

The L-1A new office transfer moves a manager or executive from the Canadian company into the new US operation. To qualify, the employee has to have worked for the Canadian parent, subsidiary, or affiliate for at least one continuous year within the previous three, and the two companies need a qualifying corporate relationship. A new office L-1A is typically approved for one year to start. Extending it requires that the office is genuinely active and operating, and that the role really is managerial or executive rather than a title on a form.

The E-2 is the other common route. Canada is an E-2 treaty country, so a Canadian citizen investing a substantial amount of capital can come to develop and direct the operation. Worth knowing up front: the E-2 is a non-immigrant visa and does not itself lead to permanent residence.

Which one fits depends on whether you are transferring an existing employee or investing as an owner. That is a question for a cross-border immigration lawyer, and it is worth asking before you incorporate rather than after, because your entity structure affects your options.

Tax stops being one conversation and becomes three

You now have a Canadian tax position, a US federal position, and a New York State position. They interact, and the treaty governs how.

The New York piece is where the region matters. Manufacturers here pay no New York State corporate income tax. There is no inventory or personal property tax, and no sales tax on production or research and development equipment. For a company weighing a US footprint purely on operating cost, that stack is a real part of the arithmetic.

Get a cross-border accountant involved early. The companies that struggle are the ones that treat US tax as something to sort out after the entity exists.

Your logistics get simpler, not harder

This is the part Canadian companies tend to underestimate. Manufacturing or warehousing on the US side of the border removes the customs event from every single order you ship to a US customer. Instead of clearing goods repeatedly, you clear inputs once.

The region has seven international ports of entry across road, rail, and water, and more licensed customs brokers than any other single region, over forty of them. What tends to go wrong

The failures we see are almost never dramatic. They are sequencing errors.

A company incorporates in the wrong state because someone read an article about Delaware, then has to register as a foreign entity in New York anyway. A transferee’s visa application goes in before the US office has a lease, and gets a harder look than it needed. An incentive application misses a window because nobody knew the window existed. A company signs a building before checking whether the site had the electrical service its equipment needs.

None of those are hard to avoid. They are hard to avoid if you are doing it for the first time without someone who has done it before.
